1. Acceptance of Terms

By using EasyCover’s Services, you confirm that you are at least 18 years old (or have parental consent if required by law) and have the authority to accept these Terms on behalf of yourself or your organization.

2. Description of Services

EasyCover provides technology platforms and tools that support healthcare management, insurance administration, and communication through digital channels including web, mobile, and API-based integrations (such as WhatsApp Business API).

3. Account Responsibility

• You agree to provide accurate and complete information when registering for or using our Services.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• EasyCover is not liable for loss or damage arising from unauthorized account use.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights;
• Transmit spam, fraudulent messages, or unauthorized marketing;
• Infringe intellectual property or privacy rights;
• Interfere with, disrupt, or attempt to gain unauthorized access to any part of our systems;
• Scrape, extract, or collect data from Meta’s platform or EasyCover Services in violation of Meta’s or EasyCover’s policies;
• Use bots, inauthentic accounts, or automated means that contravene Meta Platforms’ Developer Policies;
• Use the Services in a way that may harm EasyCover’s reputation or service integrity.

5. Data Protection & Privacy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect and process your data in accordance with the GDPR, NDPR, and Meta Platforms’ Platform Terms and Developer Policies (effective February 3, 2025). By using our Services, you consent to our data practices as described therein.

6. Intellectual Property

All intellectual property rights in the Services—including content, code, design, logos, and trademarks—remain the property of EasyCover or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Services without prior written consent.

7. Third-Party Integrations and Meta Platforms

Our Services may connect with third-party tools such as WhatsApp, Meta APIs, payment gateways, or analytics platforms. You acknowledge that these are governed by their own terms and privacy policies, and EasyCover is not responsible for their actions or data handling.

You further acknowledge that any use of EasyCover’s Services that interacts with Meta Platforms (including WhatsApp Business API) is also governed by Meta Platforms’ Platform Terms and Developer Policies. You agree to comply with those terms when accessing or using such features.

8. Data Deletion Requests via Meta Platform

If you use our Services via Meta’s platform and a user requests deletion of their data, you agree to cooperate with EasyCover in fulfilling any required deletion procedures or callbacks mandated under Meta’s developer policies.

9. Service Availability & Modifications

We strive to provide continuous, high-quality service but do not guarantee uninterrupted access. EasyCover reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, EasyCover disclaims all warranties, whether express or implied, including but not limited to fitness for a particular purpose, accuracy, or non-infringement.

11. Limitation of Liability

To the maximum extent allowed by law, EasyCover shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the Services. Our total liability for any claim shall not exceed the amount you paid to EasyCover (if any) in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold EasyCover, its affiliates, officers, and employees harmless from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Services, integration with Meta Platforms, or violation of these Terms or Meta’s developer policies.

13. Termination

EasyCover may suspend or terminate your access to the Services at any time if you breach these Terms, Meta’s developer policies, or engage in conduct that may harm the company, its users, or the public interest. Upon termination, your right to use the Services ceases immediately.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall first be resolved amicably, failing which it will be submitted to the exclusive jurisdiction of the courts in Abuja, Nigeria.

15. Amendments

We may update these Terms periodically to reflect changes in our Services, applicable laws, or Meta Platforms’ policies. Updates will take effect upon posting, and continued use constitutes acceptance of the revised Terms.
